These Terms of Service constitute a legally binding agreement between you (“you”, “your”, “User”) and Zuly.bio (“Zuly.bio”, “we”, “us”, or “our”) governing your access to and use of the Service.

By creating an account, accessing, or using the Service in any manner, you:

Zuly.bio is a premium “link-in-bio” platform that allows users to create customizable profile pages to showcase links, content, media, and related information in a centralized location.

The Service may include, but is not limited to:

• Creating and managing a customizable profile with links, text, images, and media embeds;
• Analytics and insights about link clicks and profile visits;
• Integrations with third-party services (e.g., social networks, payment providers, media platforms);
• Premium and/or paid features, including enhanced customization and additional functionality;
• Customer support and related tools.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

To access certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated;
• Maintain the security and confidentiality of your login credentials;
• Not share your password or grant unauthorized access to your account;
• Immediately notify us of any unauthorized access, suspected security breach, or misuse of your account;

By submitting or posting User Content on or through the Service, you grant Zuly.bio a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, translate, publish, publicly display, publicly perform, distribute, and otherwise use such content for the purpose of operating, improving, promoting, and providing the Service.

This license remains in effect for as long as your User Content is hosted on or through the Service. Certain copies of your User Content may be retained in backup systems for a limited period after deletion, or may be retained as required by law.

The Service, including but not limited to its design, features, functionality, software, code, interface, and all related intellectual property, is and shall remain the exclusive property of Zuly.bio and its licensors.

Without our prior written consent, you may not:

• Copy, reproduce, distribute, modify, adapt, translate, create derivative works of, or publicly display any part of the Service beyond what is permitted by normal use;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used to provide the Service, except where permitted by applicable law;
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices.

All trademarks, logos, and service marks displayed on or within the Service are the property of Zuly.bio or their respective owners. Use of any trademarks or logos without prior written consent is strictly prohibited.

You agree that you will not, and will not permit others to:

• Post or link to content that exploits or harms minors, including any sexual or suggestive content involving minors;
• Engage in spamming, unsolicited messages, bulk messaging, or other forms of unauthorized advertising or marketing using the Service;
• Impersonate any person or entity or misrepresent your affiliation with a person or entity;
• Attempt to gain unauthorized access to any portion of the Service, user accounts, computer systems, or networks connected to the Service through hacking, password mining, or other means;

• Zuly.bio is not responsible for any transactions, disputes, or issues arising between you and any third party;
• We do not endorse, approve, or verify any Third-Party Services linked or displayed through the Service.

You are solely responsible for ensuring that any links you share via the Service comply with all applicable laws and do not infringe third-party rights.

Zuly.bio may offer free and paid plans, including subscription-based and/or one-time payment options. By subscribing to or purchasing any paid plan, you agree to pay all applicable fees and charges in accordance with the pricing and billing terms presented to you at the time of purchase.

• All fees are quoted and payable in the currency indicated at checkout, unless otherwise stated;
• Payment is processed through our third-party payment processors (e.g., Stripe or others), and your use of such processors is subject to their terms and conditions;
• By providing a payment method, you represent and warrant that you are authorized to use such payment method and authorize us (or our payment processors) to charge all amounts due to that payment method;
• Subscriptions (where applicable) are billed in advance on a recurring basis (e.g., monthly or annually), unless canceled in accordance with these Terms;
• We reserve the right to change the pricing of our plans and services; any price changes will be communicated to you in advance, and, where required, you will be given the opportunity to cancel before the changes take effect.

Taxes, levies, or duties (such as sales tax, VAT, GST, or similar) may be charged in addition to the fees, where applicable, based on your billing address and local laws.

Unless explicitly stated otherwise at the time of purchase or required by applicable law, all fees paid for the Service are non-refundable.

You may cancel your subscription or downgrade your plan at any time via your account settings or by contacting support. Upon cancellation:

• Your access to paid features will continue until the end of the current billing period, unless otherwise specified;
• No partial period refunds or credits will be given for unused time or features, except where required by law;
• We may retain certain data or account information as required by law or for legitimate business purposes.

In no event shall the total aggregate liability of Zuly.bio for all claims relating to the Service exceed the greater of:

• The amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim; or
• A fixed amount that we may define in our sole discretion (e.g., a modest cap), unless restricted by applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Zuly.bio, its owners, affiliates, directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your use or misuse of the Service;
• Your User Content;
• Your violation of these Terms or any applicable law or regulation;
• Your infringement, misappropriation, or violation of any third-party right, including intellectual property or privacy rights.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims.

These Terms and any dispute arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws applicable in your primary place of business or residence, and, where applicable, the federal laws of that country, without regard to its conflict of law principles.

Where permitted by law, you and Zuly.bio agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of a competent jurisdiction selected by Zuly.bio, and you consent to the personal jurisdiction and venue of such courts.

We may update, modify, or revise these Terms from time to time to reflect changes in our practices, the Service, legal requirements, or other reasons. When we make material changes, we will update the “Last updated” date at the top of this page and may provide additional notice as required by law.

Your continued access or use of the Service after the effective date of the revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

Entire Agreement. These Terms, together with any other policies or agreements referenced herein (such as our Privacy Policy), constitute the entire agreement between you and Zuly.bio regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

No Third-Party Beneficiaries. These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and Zuly.bio.
